Amendments to the Book “Cyprus Companies Law, CAP. 113” – 25 July 2025
The Cyprus Companies Law, Cap. 113, is amended every year.
On the 25th of July 2025 it was amended for the second time by Law 155 (I) of 2025.
The Amending Law introduced a number of changes.
The Law made changes concerning the Order confirming the reduction of share capital. The resolution for the reduction of the share capital shall take effect from the date of the issuance of the order by the Court. The company shall, within fifteen (15) days from the date of the issuance of the order deliver to the Registrar of Companies a copy of the order of the Court ratifying the reduction of the share capital of the company and of the minutes that were approved by the Court which indicate, with regard to the company’s share capital as amended by the order, the amount of the share capital, the number of shares in which it shall be divided, the amount of each share and the amount, if any, that is deemed to have been paid for each share on the date of issuance of the order. The Court may by order extend the time for the delivery of the documents to the registrar. The registrar shall register the copy of the order and minute that was approved by the Court and shall certify their registration, and the certificate that he shall issue shall be conclusive evidence that all the provisions of this Law with respect to reduction of share capital have been complied with.
The Law also made changes concerning the register of charges to be kept by registrar of companies, as well as changes regarding the rectification of the register of charges or record of mortgages.
Furthermore, changes were introduced regarding the registration of the request for the reinstatement of the company. The Registrar shall reinstate the name of the company in the register and the company shall be deemed to have continued to exist as if its name had not been struck off and the date of registration of the request for reinstatement by the registrar shall be deemed to be the date of reinstatement of the company in the register
Other changes involved the issuance of a certificate of continuation of an overseas company and the consent given by the Registrar to the continuation of the company under the legal regime of another country or jurisdiction by the issuance of a relevant certificate.
The purpose of the Law is also to redesign, consolidate and create new types of certificates and registration certificates issued by the Registrar of Companies with a view to modernization, simplification of procedures and facilitation of business activity.
Such changes concern, inter alia:
- The inspection, production and evidence of documents kept by the Registrar
- The request for a copy or extract of a document or any part of a document, to be certified by the registrar
- Any company may, for the purposes of disclosure, file an application for the conversion of documents into electronic form
- The types of certified copies of documents that can be obtained in electronic form
- Electronic copies, certificates of filings and extracts of acts and data granted by the registrar
- Upon the request of any person, the registrar shall issue in electronic or printed form a copy of a certificate certified as a true copy, which shall be admissible as evidence in any legal proceedings that it has equal validity to the original certificate
- Upon the application by any person, the Registrar shall issue in electronic or printed form a copy of a certificate in the English language
- For the certification of certificates and their true copies in electronic form, the registrar shall use an approved electronic seal
- The Registrar shall issue in electronic or printed form the certificates of filings in the register certified as a true copy in Greek or in English, which shall be admissible as evidence in any legal proceedings that it has equal validity to the original certificate of filings in the register
